We represent lenders and borrowers in a range of financing transactions including vanilla financing, mezzanine financing, external commercial borrowing, structured debt products, project financing, securitization and debt assignment transactions. Our clients include some of the world’s largest commercial banks, investment banks, non-banking financial companies, private investment funds, mutual funds and other institutional lenders and investors and borrowers and issuers of securities.

Corporate Finance: The Firm regularly advises banks and NBFCs in providing general corporate financing facilities. These financing transactions, apart from general working capital arrangements, include export credit financing transactions, asset financing and other such funding arrangements. The general corporate finance practice of the Firm also advises lenders and corporates on external commercial borrowing and trade credit facilities.

Listed & Structured Debt: The Firm has a strong structured debt practice both on the listed and unlisted space. Amongst other debt placements, the Firm has advised L&T Finance on the first preference share listing in India. The Firm advises on all aspects of securitization regulations and transactions for certain NBFCs, trustees and originators of securitized assets.

Infrastructure & Project Finance: The Firm advises lenders in financing of conventional and renewable energy and road projects.

Aviation Financing: The Firm provides in-depth advice on cross-border financing transactions. We represent airlines, air carriage operators, financial institutions, lesson and support providers (such as MROs) on a broad spectrum of acquisition, financing, lease and related regulatory matters. Our experience includes the financing of purchase and lease of aircrafts by leading airline operators, corporates and leasing and financial institutions.

Restructuring & Insolvency: With the advent of the Insolvency Code in India 2016, the Firm’s Banking and Finance team is increasingly advising lenders and corporates on their debt restructuring arrangements and insolvency resolution processes.


Merger & Acquisitions: Acquisitions, disposals and joint ventures have always been an important strategic option for corporations, financial institutions and private equity investors. We help our clients understand and assess these options and execute their transactions.
Our in-depth experience supports our clients in both their domestic deals and multi-jurisdictional transactions.
The Firm advises both acquirers and sellers at every step of the transaction – from preparation of offers to negotiations, documentation and closing the deal. We also advise corporates, investors and entrepreneurs on structuring, drafting and negotiating their joint venture agreements. When structuring and planning acquisitions and investments, we are also able to call on our experience in allied areas such as regulatory, tax, employment, commercial, dispute resolution, real estate and intellectual property law.

Private Equity & Venture Capital: The Firm advise private equity investors and target companies at all stages of their investment cycle and businesses. The Firm advises on executing acquisitions, financings and exit transactions; and providing corporate, securities, financing and litigation advice to portfolio companies. Our disputes lawyers aim at providing a niche set of clients with end-to-end advice including pre-litigation advice, negotiation and effective use of court and arbitral processes. The disputes practice adopts a result oriented strategy intended to ensure that the client achieves its commercial goals in the challenging Indian litigation and arbitration scenario. Our practice covers a wide area of commercial matters including mergers & acquisitions, joint venture disputes, lender disputes, security enforcement, debt recovery, employment and human resources, contractual disputes, company matters, insolvency and information technology and privacy related disputes, amongst others.


The Firm is actively engaged in advising on insolvency laws in India. The Firm’s insolvency practice includes, advising investors and lenders in restructuring of their debt exposures to debtors, enforcing their rights under the Insolvency and Bankruptcy Code and advising sponsors on actions brought against them under the Insolvency and Bankruptcy Code and challenging proceedings or resolution plans which have been prejudicial to such sponsors. The Firm is engaged in significant advisory work on insolvency laws in contentious and non-contentious matters.
The Firm’s strong banking and finance credentials, which has been recognized by leading publications such Asia Law and Chambers, has been a pivot for growing the insolvency and re-structuring practice. The two groups of lawyers work closely with each other, to structure transactions which are suited to effectively navigate India’s insolvency laws and on re-structuring and resolution mandates so as to provide our clients with holistic advice taking all aspects of financial laws into consideration.

Our senior partner, Kalpana Merchant, has decades of experience in managing large real estate practices and has an unparalleled coverage of executing real estate transactions in one of the world’s fastest growing property markets. We work with real estate developers and investors in executing complex, high-value portfolio transactions and apply our local market knowledge and legal expertise to help clients plan, negotiate and execute real estate acquisitions and sales, including investment transactions involving real property assets. We work on deals involving commercial, hospitality and industrial properties, collaborating with the Corporate Practice to provide integrated advice on all aspects of these transactions.
